1. Acceptance of Terms & Non-Binding Marketing Materials
By accessing or using the Ramatkal website, web applications, or mobile apps, you agree to be bound by these Terms of Service and End User License Agreement (EULA). All marketing copy, feature previews, and roadmap statements do NOT constitute a binding public offer (invitatio ad offerendum) and may be modified at our discretion without prior notice.
2. User Responsibility, Meeting Consent & Compliance
Ramatkal is designed solely for voluntary, consensual recording of business meetings. You represent and warrant that you are solely responsible for compliance with all wiretapping, recording, and privacy laws (including one-party, two-party, and all-party consent rules, and GDPR). You agree to obtain all necessary advance consents and authorizations from all participants before initiating recording or transcription. Ramatkal disclaims all liability for unauthorized recording.
3. Subscriptions, Token Balances & Auto-Renewal
- Token Balance: 1 Token equals 1 second of audio capture and AI analysis. Tokens are consumed as meetings process.
- Price Adjustments: We reserve the right to revise pricing or token allocations for subsequent billing periods with 30 days prior notice. Continued use after the effective date constitutes acceptance.
- Mobile Stores: App Store and Google Play subscriptions auto-renew unless cancelled at least 24 hours before the period ends.
- Web Merchant: Web purchases are securely processed by Paddle.com (Merchant of Record).
4. "As-Is", Disclaimer of Warranties & Liability Cap
The platform and AI insights are provided "AS IS" without warranties of any kind. AI summaries and transcripts are advisory suggestions. Ramatkal disclaims liability for inaccuracies, acoustic distortion, lost profits, lost deals, or consequential damages. In all cases, our total aggregate liability is strictly capped at the amounts paid by you in the twelve (12) months preceding the claim.
5. Indemnification
You agree to defend, indemnify, and hold harmless Ramatkal and its affiliates from any third-party claims, liabilities, damages, regulatory fines, or legal fees arising out of your recordings, failure to obtain participant consents, or violation of these Terms.
6. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Delaware (or English law for European cross-border commerce), without regard to conflict of laws. Any dispute shall be resolved through confidential binding arbitration or competent courts of competent jurisdiction.
